Position Overview

Project PAW Carbon & Energy Solutions Corp. is seeking a Trustee & Corporate Secretary to join its Board of Directors as a long-term governance partner.

This is not an employment role. It is a partner-level position focused on ensuring the corporation operates with full legal, procedural, and fiduciary integrity. The selected individual will play a critical role in establishing and maintaining the governance foundation of a multi-division organization.

Mandate

The Trustee/Corporate Secretary ensures that all corporate activities align with legal requirements, internal policies, and fiduciary obligations while maintaining transparency and accountability at the board level.

Core Responsibilities

  • Maintain all corporate records, filings, and official documentation

  • Ensure compliance with applicable laws and regulatory frameworks (federal and New Brunswick)

  • Administer board governance processes, including:

    • Meetings, agendas, and minutes

    • Resolutions and voting records

  • Safeguard fiduciary duties and ensure transparency standards are upheld

  • Act as a neutral and independent governance authority within the board structure

Authority Scope

  • Full access to governance processes and corporate records

  • Independent from operational influence

  • Oversight authority on compliance and procedural integrity

Ideal Candidate Profile

This role is best suited for:

  • Paralegal professionals or students

  • Individuals with strong administrative, filing, or financial record-keeping experience

  • Candidates with relevant education in law, business administration, or governance

Qualifications

Required:

  • Experience or education related to corporate governance, legal administration, or compliance

  • Strong organizational and documentation skills

  • High attention to detail and procedural accuracy

  • Ability to operate with neutrality, discretion, and integrity

Preferred:

  • Paralegal certification, legal training, or equivalent experience

  • Experience with corporate filings, board governance, or regulatory compliance

  • Familiarity with Canadian corporate structures and reporting requirements

Equity & Partnership Structure

  • 8%–13% vested sweat equity based on contribution and performance
